1. Scope of Services

Verum Artifex provides visual communication and design services, including but not limited to graphic design, UX/UI design, physical media, and digital art. All services will be carried out with the highest quality and professionalism.

2. Project Proposals and Agreements

Each project begins with a detailed proposal outlining the scope, deliverables, timeline, and pricing. Work will commence once the proposal is agreed upon and a deposit (if applicable) is received.

3. Payment Terms

Payments are structured as follows:

• Initial Deposit: A non-refundable deposit may be required to start the project.

• Milestone Payments: Payments may be required at specific stages of the project.

• Final Payment: The remaining balance is due upon project completion before final deliverables are handed over. All invoices are payable within 14 days of receipt unless otherwise agreed.

4. Revisions and Approvals

Projects include a set number of revisions, which will be specified in the proposal. Additional revisions beyond the agreed number may incur extra charges. Timely feedback and approvals from the client are essential to maintain the project timeline.

5. Intellectual Property

All intellectual property rights for the final deliverables will be transferred to the client upon full payment. Verum Artifex retains the right to showcase the work in its portfolio and marketing materials unless a non-disclosure agreement (NDA) is in place.

6. Confidentiality

Verum Artifex respects the confidentiality of all client information and project details. Any confidential information provided will be protected and not disclosed to third parties without the client's consent.

7. Client Responsibilities

Clients must promptly provide all necessary information, materials, and feedback. Delays in providing required inputs may impact the project timeline and completion.

8. Termination

Either party may terminate the project with written notice. In the event of termination, the client will be invoiced for all completed work and any expenses incurred up to the date of termination.

9. Liability

Verum Artifex will not be liable for any indirect, incidental, or consequential damages arising from the use of the deliverables. The client assumes full responsibility for the use and implementation of the final designs.

10. Governing Law

These terms and conditions are governed by the laws of Maryland. Any disputes arising will be subject to the exclusive jurisdiction of the courts in Maryland.
